HIPSTUB TERMS OF SERVICE

HipStub is an online service that provides you with tickets/passes to events and activities. As a third-party service provider, we do not operate these events and cannot control unforeseen circumstances which may occur at an event. Please read the following terms and conditions carefully as this is a binding contract between you and HipStub. By signing or marking and by completing your transaction, you are hereby agreeing to the terms of purchase. Please contact the producer of the event directly for their own terms of service and refund policies.

Refund Policy

ALL SALES ARE FINAL. Except as provided below under "CANCELLED EVENTS," there are no refunds, no cancellations, no credits, no exchanges and no transfers after the order has been made. Unforeseen circumstances beyond HipStub's control will not be grounds for a refund, including but not limited to the following: local or national weather conditions and natural disasters, waiting in lines, family and medical emergencies. Promoters, venue owners, Security and Event Staff have the right to refuse entry to any ticket holder, without a refund, for any reason at their discretion, including but not limited to: disorderly conduct, aggressive behavior, intoxication, being under the influence of narcotics, venue capacity, breach of security restrictions. Ticket holder is aware that the Venue and Talent are subject to change. Ticket holder is aware that amenities promised by promoters are not guaranteed by HipStub and are not grounds for a refund, including but not limited to: VIP amenities, drink specials, gifts, express entry, special areas, celebrity guests.

Cancelled Events

If an event in its entirety is cancelled prior to the commencement of the event, you will receive a refund for the face value of the ticket; service, shipping, and other fees are non-refundable under any circumstances. If the service fee is not listed, it may be embedded into the price of the ticket. To inquire about the amount of an embedded service fee, please contact customer support by clicking the "support.HipStub.com" link at the bottom of the website and use our online message system to send a message to Customer Support. Tickets purchased at a retail outlet must be refunded at the retail outlet.

Postponed or Rescheduled Events

If the event is postponed or rescheduled, you are eligible for a refund for the face value of the ticket. Even so, you must submit an email inquiry within five (5) days of the originally scheduled event requesting a refund and mail-in any hard tickets back to HipStub. The tickets must be received five (5) days before the newly scheduled event in order to receive a refund; failure to do so will waive your right to a refund. Tickets purchased at a retail outlet must be refunded at the retail outlet.

Customer Inquiries

All customer support is handled by the HipStub online and instant messaging system, in which case all customer support and refunds are handled by the event producer. Please contact customer support by clicking the "support.HipStub.com" link at the bottom of the website and use our online message system to send a message to Customer Support. All inquiries related to attended events must be made within five days following the event.

Will Call

Will call tickets must be picked up at the venue unless otherwise noted. Tickets left at will call will not be refunded. Will call start and end times are subject to change and are not grounds for a refund. You must present the original credit card used to purchase the ticket, a valid state-issued photo ID, and your "e-ticket" receipt. If you are unable to pick up your order because you do not have the aforementioned items in your possession at the time and place of pickup, you will not receive a refund for this purchase.

Print-at-Home

Print-At-Home tickets must be presented at the event. To print out your ticket, please visit your account purchase history. You may also present your Print-At-Home ticket using a smart phone and visiting your account purchase history.

Shipping and Handling

All shipping and handling fees are nonrefundable. Express tickets require a signature upon delivery and cannot be shipped to P.O. Box Addresses. All other shipping methods do not require a signature. Allow approximately five (5) business days for delivery. Tickets will be delivered to the billing address of the credit card. If you enter an undeliverable address or if the tickets are returned unclaimed you will not receive a refund. International shipping is not available.

Service Fees

On *select* deals and events, HipStub charges a nonrefundable (under any circumstances, including event cancellation or rescheduling) "convenience" or "service" fee to offset our considerable out-of-pocket costs associated with bringing these unique and special events & experiences to our marketplace. Sometimes these fees offset "pay-to-play" costs associated with paying the organizer or merchant to retail the deal on HipStub; sometimes they offset permitting or licensing fees related to the event or activity; sometimes they offset additional deal production costs. In many instances, those deals that do have built-in processing fees would never be able to make it to (HipStub's) online reservations platform if those fees were not charged.

Indemnification

HipStub is not affiliated with the events or event sponsors and HipStub will not cover losses or damages arising from your voluntary participation in these events, including claims for personal injury, or damage to personal property, or any other claims for negligence on the part of the events or event sponsors. By purchasing the tickets through HipStub, you hereby release and forever discharge HipStub and its affiliates, licensors, suppliers, advertisers and sponsors, and their respective directors, officers, employees, consultants, agents and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees) and other expenses that arise directly or indirectly out of or from (a) your breach of these Terms of Purchase including any violation of the Code of Conduct, above; (b) any allegation that any User Content or other materials you submit to us or transmit to the Site infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; (c) your activities in connection with the Site; and/or (d) termination of your access to the Site.

Release of Liability

HipStub provides a marketplace in which Attendees and Organizers can transact. However, HipStub could not function if it were held responsible for the actions or inactions of different Attendees, Organizers and/or third parties both on and off the Services. Therefore, as an inducement to HipStub permitting you to access and use the Services, you hereby agree to release HipStub, and its affiliates and subsidiaries, and each of its and their respective officers, directors, agents, partners and employees from all damages (whether direct, indirect, incidental, consequential or otherwise), losses, liabilities, costs and expenses of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and third parties (including other Users) in connection with the Services or any event listed on the Services. In addition, you waive any applicable law or statute, which says, in substance:

"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE RELEASED PARTY."

Trademarks

The trademarks, service marks and logos of HipStub (the "HipStub Trademarks") used and displayed in connection with the Services are registered and unregistered trademarks or service marks of HipStub. Other company, product and service names used in connection with the Services may be trademarks or service marks owned by third parties (the "Third Party Trademarks," and, collectively with HipStub Trademarks, the "Trademarks"). The offering of the Services shall not be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed in connection with the Services without the prior written consent of HipStub specific for each such use. The Trademarks may not be used to disparage HipStub, any third party or HipStub's or such third party's products or services, or in any manner that may damage any goodwill in the Trademarks. Use of any Trademarks as part of a link to or from any site is prohibited unless HipStub approves the establishment of such a link by prior written consent specific for each such link. All goodwill generated from the use of any HipStub Trademark shall inure to HipStub's benefit.

Patents & Copyrights

A number of issued patents and patents pending apply to the Services. The Content (as defined in the Terms of Use) of the Services is also protected by copyrights owned by HipStub and/or third parties. Please note that if you copy portions of the Services you are violating these patent rights and copyrights.

Notices

Notices to you may be sent via either email or regular mail to the address in HipStub's records. The Services may also provide notices of changes to these Terms of Service or other matters by displaying notices or links to notices to you generally on the Services.
